Please read these Terms & Conditions carefully before using our services. This document outlines the rules governing your use of the ZenFinance platform.

Terms and Conditions

These Terms of Service (“Terms”) govern your access to and use of ZenFinance (the “Service”), including our website, applications, and related services. By creating an account, accessing, or using the Service, you agree to these Terms.

If you do not agree, do not use the Service.

  1. Who We Are

ZenFinance,” “we,” “us,” and “our” refers to Midnight Digital Inc. (operating ZenFinance).

  1. Eligibility

You must be at least the age of majority in your province or territory to use the Service, or have permission from a parent/guardian if permitted by law. You represent that you have the legal capacity to enter into these Terms.

  1. The Service

ZenFinance helps users connect financial accounts and automatically categorize and reconcile transactions. The Service may also provide summaries, insights, and related tools.

Important: ZenFinance is software. It is not a bank, accountant, broker, investment adviser, fiduciary, payment institution, or tax advisor.

  1. No Professional Advice

The Service may generate categorizations, reconciliations, suggested labels, reports, or insights. These are provided for informational purposes only and may be inaccurate.

You are responsible for reviewing outputs and determining whether they are appropriate for your needs, including for bookkeeping, tax filing, financial reporting, or business decisions. You should consult a qualified professional (e.g., accountant or tax advisor) when needed.

  1. Account Registration and Security

You agree to:

  • provide accurate and complete account information;

  • keep your credentials secure and confidential;

  • promptly notify us of unauthorized access or suspicious activity.

You are responsible for all activity that occurs under your account.

  1. Connecting Bank Accounts and Third-Party Services

6.1 Third-Party Providers

To connect your bank or financial accounts, ZenFinance may use third-party providers (“Third-Party Providers”) such as aggregators and financial institutions. Your use of those services may be subject to their terms and policies.

6.2 Authorization

By connecting an account, you authorize ZenFinance and our Third-Party Providers to access and retrieve information from your financial accounts (including transaction data, balances, and account details) to provide the Service.

6.3 Limitations

We do not guarantee:

• availability of any specific financial institution connection;

• accuracy, completeness, or timeliness of data retrieved;

• uninterrupted connections or error-free syncing.

  1. Subscriptions, Trial, Billing, and Refunds

7.1 Subscription Plans

The Service is offered on a subscription basis. Plan features, pricing, and billing intervals will be presented at checkout or within the Service and may change as described in Section 7.6.

7.2 Free Trial

If you start a free trial, you may be required to provide a payment method. Unless you cancel before the trial ends, your subscription will automatically begin at the end of the trial and you will be charged according to your selected plan.

7.3 Auto-Renewal

Subscriptions automatically renew unless you cancel before the renewal date.

7.4 Cancellation

You can cancel through your account settings (if available) or by contacting us at contact@zenfinance.ai. Cancellation stops future renewals. Unless required by law or stated otherwise, you will retain access until the end of the current billing period.

7.5 Refunds

Refund eligibility depends on your plan and the circumstances. Unless otherwise required by law, refunds may be:

  • pro-rated or not pro-rated depending on the plan terms shown at purchase;

  • denied for partial periods, downgrades, or unused time, in our discretion.

To request a refund, contact contact@zenfinance.ai with your account email and the reason for the request. We reserve the right to deny refund requests if we detect abuse (e.g., repeated trial/refund cycling)

7.6 Price and Plan Changes

We may change pricing, features, or plans. If a change affects you, we will provide notice within the Service or by email where required. Changes typically apply at your next renewal unless stated otherwise.

  1. Acceptable Use

You agree not to:

  • use the Service for unlawful purposes;

  • interfere with or disrupt the Service;

  • attempt to access accounts or data you do not own or have permission to access;

  • reverse engineer or attempt to extract source code except to the extent permitted by law;

  • introduce malware, automate abusive scraping, or bypass security features;

  • use the Service to transmit sensitive information in a way that violates applicable law.

We may suspend or terminate accounts that violate these Terms.

  1. User Content and Data

9.1 Your Data

You retain ownership of the data you upload or provide (“User Content”), including financial data you connect through the Service, subject to the rights you grant below.

9.2 License to Operate the Service

You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display User Content solely to:

• provide and maintain the Service;

• secure, troubleshoot, and improve the Service;

• comply with legal obligations.

9.3 Aggregated and De-Identified Data

We may create aggregated and/or de-identified data derived from use of the Service (for example, product analytics and performance metrics). We may use that data for product improvement, security, research, and business operations, provided it does not identify you.

  1. Privacy

Our collection and use of personal information is described in our Privacy Policy. If there is a conflict between these Terms and the Privacy Policy regarding personal information, the Privacy Policy controls.

  1. Intellectual Property

The Service, including software, design, text, and logos, is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business or personal purposes in accordance with these Terms.

You may not use our trademarks without our prior written consent.

  1. Availability, Changes, and Beta Features

We may modify, suspend, or discontinue any part of the Service at any time. Some features may be labeled beta or preview and may be unstable or change without notice.

We are not liable for any modification, suspension, or discontinuation of the Service except where prohibited by law.

  1. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT CATEGORIZATIONS/RECONCILIATIONS WILL BE ACCURATE OR COMPLETE.

  1. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

• OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) CAD $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

  1. Indemnity

You agree to indemnify and hold harmless Midnight Digital Inc. and its directors, officers, employees, and contractors from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• your use of the Service;

• your violation of these Terms;

• your violation of any law or third-party rights;

• your User Content.

  1. Dispute Resolution and Governing Law (Ontario)

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules.

To the maximum extent permitted by law, you agree that any dispute, claim, or proceeding arising out of or relating to these Terms or the Service will be brought exclusively in the courts located in Ontario, and you submit to the personal jurisdiction of those courts.

  1. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice by posting an updated version and updating the Effective Date, and/or by notifying you within the Service or by email where appropriate. Continued use of the Service after changes become effective means you accept the updated Terms.

  1. Miscellaneous

  • Entire Agreement: These Terms and any referenced policies form the entire agreement between you and us regarding the Service.

  • Severability: If any provision is unenforceable, the remaining provisions remain in effect.

  • Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.

  • No Waiver: Our failure to enforce a provision is not a waiver of our right to do so later.

  • Force Majeure: We are not responsible for delays or failures caused by events beyond our reasonable control.
